General Policy

POLICY

The seller accepts the buyer's order to the express condition that the buyer accepts the terms set out below and be bound by them. All orders for the buyer will be subject to the following conditions of sale. EFFECTS OF CONDITIONS

PAYMENT

Unless otherwise stated , prices are in Canadian dollars for the same products sold stocks or sent directly to the buyer by the manufacturer (FOB shipping point ) . The terms of payment are: cash, direct payment, Visa, Master- Card, Paypal or net thirty (30) days for payment in cash or by check without discount to customers whose credit is approved by our controller. The interest rate of 2% per month will be charged on overdue accounts (26.8% per year). If the account of the buyer is in default, in addition to other rights and remedies, the seller may suspend deliveries or performance under this Agreement or any other contract with the purchaser until his account in order or that the seller receives a warranty or a sufficient amount before shipping and reserves the right to charge all surplus collection costs plus an administrative fee of 15%.

DELIVERY

Unless it is specified otherwise, prices do not include delivery charges to be borne by the buyer. If we assume the costs of delivery, we reserve the right to choose the carrier of our choice.

Shipping dates are approximate and the seller assumes no responsibility for delays. If buyer asks for urgent deliveries or outside of normal business hours, it will bear the additional cost. The deadline stated herein, during which delivery must be made will begin upon receipt by the seller in writing by the buyer to receipt of order acceptance. The delivery must be made by the purchaser or proper shipping provided the seller within ten ( 10) days of the notice that the products are ready to deliver , otherwise the directives full purchase price will be immediately due and payable and the seller may , at its discretion , store the products and charge for storage and handling of the order of 15% fresh or available for the buyer's account and risk in a public or private sale , or exercise any other rights and remedies available to the seller in the circumstances.

TITLE AND RISK OF LOSS

All rights, title and interest in the products remain in the seller until the goods have been paid in full. However, the risk of loss of such products will be fully assumed by the buyer from the moment they are assigned to a common carrier and the loss, damage, deterioration or destruction of the goods thereafter shall not release the purchaser of its obligations hereunder. In case of default, the seller has the right to take possession of any goods already delivered and to remove them without notice and without judicial process, in which case all payments previously paid will be credited to the account of the buyer after deducting reasonable costs of rent and costs of repossession, storage and handling of the order of 15% , as appropriate, including legal fees and collection . The Buyer hereby agrees to defend, indemnify and hold harmless the seller in respect of any claims, lawsuits and other claims due to, but not limited to, retention of title products by seller while the risk relating is assumed by the buyer .

CLAIM

Any claim relating to incomplete or inaccurate delivery must be made in writing within two (2) days from the date of receipt.

RETURNS

All returned merchandise must be previously approved in writing by a person authorized to do so. We have no obligation to credit either wholly or in part. If these are not products that we normally keep in stock is our provider will determine the acceptance and return conditions.

TAXES

All taxes of any kind including, without limitation, any excise taxes , sales , use, goods and services or similar taxes that the seller may have to pay, collect or reimburse for others, because of manufacturing , ownership , use or sale of any product sold or service provided hereunder shall be the responsibility of the purchaser and will be added to the amount payable hereunder.

LIMITS OF CONTRACT

Only products specifically described on the face hereof are subject to the terms hereof. Unless otherwise indicated, install , repair, or other similar services are not included . Any service so specified shall be governed by the terms hereof.

TECHNICAL DATA

All drawings , descriptions, dimensions and performance data submitted with the receipt of the order of the seller, or integrated with it, are based on information provided by the buyer in accordance with its requirements and the seller assumes no responsibility for the accuracy of such information.

ACT OF GOD

For the purposes hereof, force majeure includes any act of God, war, mobilization , public regulation , strike, lockout, drought , flood, total or partial fire, obstruction to navigation, loss, damage or detention in transit , defective materials or delays by shippers or other contingencies beyond seller's control that could prevent the manufacture, shipment or delivery of the products covered hereby . The performance of the obligations of the seller may be suspended in cases of force majeure, without the seller is liable to the purchaser for any damages or loss arising from such delay.

LIMITED WARRANTY

Subject to the following, the Seller warrants that the products sold by it hereunder will conform to applicable specifications and standards of the industry and that the title is free of any security or bond. The vendor shall ensure that the buyer has existing manufacturers' warranties, and in no case the seller's warranty will not exceed the guarantee given by the manufacturers of the products. The only obligation of the seller under such a guarantee will replace or repair the product as the manufacturer deems necessary and to support the buyer in respect of any claim to the manufacturer.

THE ABOVE WARRANTY IS THE SOLE AND EXCLUSIVE WARRANTY, EXPRESS OR IMPLIED, GIVEN BY THE SELLER AND IS IN LIEU OF ALL OTHER WARRANTIES OF ANY KIND, WHETHER IN CONTRACT, LEGAL, STATUTORY OR OTHERWISE, FOR THE PURPOSES OF MERCHANTABILITY, QUALITY, COMPATIBILITY OR OTHERWISE.

LIMITATION OF LIABILITY

SELLER'S LIABILITY IN NO EVENT EXCEED THE PURCHASE PRICE OF THE PRODUCTS PROVIDED AND IN NO EVENT SHALL SELLER BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR COMMERCIAL LOSS IN ANY NATURE (INCLUDING DAMAGES FOR LOSS OF PROFITS) ALLEGEDLY SUFFERED BY THE BUYER.

INDEMNITY

The buyer agrees to indemnify and hold harmless the seller against any third party claim related to bodily injury (or death) , property damage or other loss , the complaint based on a design , material or quality defective or allegedly defective performance provided by the seller.

ASSIGNMENT

The buyer shall not assign or transfer this agreement or any interest or any sum thereto without the written consent of Seller and any assignment made without such consent shall be null and void.
